All references to ‘our’, ‘us’, ‘we’, ‘company’ or “Hovis” within these terms are deemed to refer to Hovis Ltd, its subsidiaries, affiliates and associates. 

This page (together with the documents referred to on it) tells you the terms of use on which you may make use of our site, whether as a guest or a registered user and any products, software, services and apps provided to you or from our site (collectively known as the “services”).

These Terms form a legally binding agreement between you and us. Please read these terms of use carefully before you start to use the site. Your legal agreement is made of these terms of use, the privacy policy and the acceptable use policy (collectively called the Terms).

Permission to access and use this site and its services is granted subject to your acceptance of the Terms. All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.

Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any sites linked to it and any materials posted on it, including, without limitation any liability for:

loss of income or revenue;

loss of business;

loss of profits or contracts;

loss of anticipated savings;

loss of goodwill;

This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

Nothing in the Terms shall affect any statutory rights which you are entitled to as a consumer and that you cannot contractually agree to alter or waive.

Information About You and Your Visits to Our Site

We process information about you in accordance with our privacy policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.

Uploading Material to Our Site

Whenever you make use of a feature that allows you to upload material to our site, or to make contact with other users of our site, you must comply with the content standards set out in our acceptable use policy. We have the right to remove any material or posting you make on our site if, in our opinion, such material does not comply with the content standards set out in our acceptable use policy.

You retain all of your ownership rights in any videos, pictures, and text you post (your Submissions), but you are required to grant limited licence rights to us and other site users (see “Rights you licence” below).

You understand and agree that you are solely responsible for your own Submissions and the consequences of posting or publishing them. Unless clearly indicated otherwise we do not endorse any Submission you post or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with your Submissions.

You represent and warrant that you have (and will continue to have during your use of the services) all necessary licences, rights, consents, and permissions which are required to enable us to use your Submissions for the purposes of the provision of the services, and otherwise to use your Submissions in the manner contemplated by the site and these Terms.

Rights you Licence

When you upload or post a Submission to the site, you grant:

us a worldwide, non-exclusive, royalty-free, transferable licence (with right to sub-licence) to use, reproduce, distribute, prepare derivative works of, display, and perform that submission in connection with the provision of the services, including without limitation for promoting and redistributing part or all of the site (and derivative works thereof) in any media formats and through any media channels;

to each user of the site, a worldwide, non-exclusive, royalty-free, licence to access your User Submissions through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions to the extent permitted by the functionality of the Website and under these Terms.

The above licences granted by you are irrevocable unless the site provides you with functionality to remove or delete your submissions from the site, in which case the above licences granted by you are terminated when you remove or delete such submission.

Viruses, Hacking and Other Offences

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site.You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any site linked to it.

Linking to Our Site

Unless we clearly indicate on our site or you have our specific prior written permission:

Closing your Account with Us

Where our site contains interactive facilities you may be given the opportunity to open an account with us.

The Terms will continue to apply until terminated by either you or Hovis as set out below.

If you want to terminate your account with us, you may do so by (a) notifying us at any time. Your notice should be sent, in writing, to our address which is set out at the beginning of these Terms. On receipt of your notice we shall close your account.

We may at any time, terminate our legal agreement with you if:

you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or

we are required to do so by law (for example, where the provision of the services to you is, or becomes, unlawful); or

we are transitioning to no longer providing the services to users in the country in which you are resident or from which you use the services; or

the provision of the services to you by us is, in our opinion, no longer commercially viable.

When these Terms come to an end, all of the legal rights, obligations and liabilities that you and We have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of paragraph 16.6 shall continue to apply to such rights, obligations and liabilities indefinitely.

Copyright, Trade Marks and Intellectual Property

We are the owner or the licensee of all intellectual property rights in our site, and in all the material published on it, including without limitation all trade marks, names and logos. These works are protected by intellectual property rights laws and treaties around the world. All such rights are reserved. Nothing on this site should be considered to be granting a licence to use any of the above mentioned rights without our express written consent.

Visitors to our site shall not:

Waiver

You agree that if we do not exercise or enforce any legal right or remedy contained in these Terms), this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to us.

Assignment

The Contract is between the Company and the Customer as principals and under no circumstances shall the Customer assign the benefit or burden of it without the prior written consent of the Company. The Company shall be entitled to assign or sub-contract the whole or part of its obligations under the Contract.

Severability

In the event of any provision of these Terms being or becoming void in whole or in part the other provisions of these Terms shall remain fully valid and enforceable and void provisions shall, where appropriate, be replaced in accordance with the meaning and purpose of these Conditions.

General

All references to any statute or statutory provision shall be deemed to include references to any statute or statutory provision which amends, extends, consolidates or replaces the same.

Entire Agreement

The Terms constitute the whole legal agreement between you and us and govern your use of the site and services and completely replace any prior agreements between you and us in relation to the site and services.

Variations

We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on our site.

You understand and agree that if you use the site or services after the date on which the Terms have changed, we will treat your use as acceptance of the updated terms.

Jurisdiction and Applicable Law

These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Notwithstanding this, you agree that we shall still be permitted to apply for injunctive remedies (or other equivalent types of urgent legal remedy) in any jurisdiction.
